Job Description

The Corporate Attorney performs a variety of legal duties and delivers high-quality service to both internal and external clients.


This role will be hybrid (mix of remote/onsite) at our Tampa Restaurant Support Center.


Key Job Responsibilities:


*Prepare agreements, addenda, amendments, riders, and additional miscellaneous documents to support franchising in the U.S. and internationally.

*Review, revise and negotiate supplier/vendor agreements, analyze/interpret existing agreements, and provide guidance to internal stakeholders as to their contractual rights and obligations; ensure adherence to Company's contract-related policies

*Conduct legal research and analysis with respect to all areas of corporate governance, legal compliance and special projects.

*Update and maintain legal entity data in the Company's web-based entity management system

*Perform legal entity management for all company subsidiaries in the U.S. and internationally, including consents and resolutions, corporate formations and dissolutions

*Periodically assist with managing and conducting due diligence reviews, including developing and maintaining virtual data rooms

*Identify challenges and propose solutions to improve departmental functions; develop and improve policies and procedures; provide training to various stakeholders relating to areas of responsibility

*Perform other duties and responsibilities as assigned


Experience/Skills:


*One (1) to two (2) years' experience at a law firm or corporate law department

*Strong analytical skills, attention to detail, follow-through, organizational and time management skills

*Must be a team player with demonstrated ability to work and adapt in a cross-disciplinary, team-based environment but must also the self-motivation needed to work independently and see projects to completion with limited supervision

*Ability to learn new computer programs and databases quickly

*Ability to define and implement key processes and improvements

*Ability to handle sensitive/confidential information with discretion

*Intermediate skills with Microsoft Office, including Word, Excel, Outlook, SharePoint and Adobe Acrobat required; GEMS by Computershare and DocuSign CLM a plus


Education:


  • J.D. required
  • Florida Bar Admission or eligibility for Florida Authorized House Counsel, required
